This affiliate program disclaimer ("Disclaimer") governs your participation in the Sequoia Brokerage affiliate program ("Program"). By registering as an affiliate or promoting our lending services, you acknowledge that you have read, understood, and agree to comply with all terms outlined in this Disclaimer and our affiliate program agreement.
AFFILIATE RELATIONSHIP
Independent Contractor Status
As a Sequoia Brokerage affiliate, you are an independent contractor, not an employee, partner, or agent of Sequoia Brokerage. You are solely responsible for:
Your own tax obligations and reporting
Compliance with applicable laws and regulations
Your marketing activities and promotional methods
Customer service for your referred leads
No Authority to Bind
Affiliates are not authorized to:
– Make commitments on behalf of Sequoia Brokerage
– Guarantee loan approval or terms
– Modify commissions or program policies
– Enter into contracts on Sequoia’s behalf
COMMISSION STRUCTURE AND PAYMENTS
Commission Tiers
Commission payments are based on funded loan amounts as follows:
$100K - $250K Loan Value: $500 commission
$250K - $500K Loan Value: $700 commission
$500K - $1M Loan Value: $1,000 commission
Over $1M Loan Value: $2,000 commission
Payment Terms
Payout Schedule: 7 days after loan funding
Minimum Payment: No minimum payment threshold
Cookie Duration: 6 months from initial referral click
Payment Method: As specified in affiliate agreement
Commission Conditions
Commissions are paid only when:
Referred customer completes a funded loan
Customer was referred through your unique affiliate link
Loan funding occurs within the 6-month cookie window
Customer has not been previously referred by another affiliate
All program terms and conditions are met
MARKETING AND PROMOTIONAL GUIDELINES
Permitted Marketing Activities
Social media promotion (personal and business accounts)
Email marketing to your existing contacts
Content marketing through blogs, websites, or videos
Paid advertising (with pre-approval for certain platforms)
Word-of-mouth referrals
Prohibited Marketing Activities
Spam or unsolicited emails to purchased lists
False or misleading claims about loan terms or approval guarantees
Trademark infringement or unauthorized use of Sequoia Brokerage branding
Illegal marketing practices including but not limited to: Deceptive advertising Bait-and-switch tactics Violation of CAN-SPAM Act Misrepresentation of affiliate relationship
Required Disclosures
All promotional materials must include clear disclosure that:
You are a paid affiliate of Sequoia Brokerage
You may receive compensation for qualified referrals
Loan approval is subject to underwriting and qualification requirements
Example Disclosure: "This post contains affiliate links. I may receive compensation if you apply for a loan through my referral link. Loan approval subject to qualification requirements."
LEGAL COMPLIANCE REQUIREMENTS
Affiliates must comply with all applicable federal and state regulations, including but not limited to:
Truth in Lending Act (TILA)
Real Estate Settlement Procedures Act (RESPA)
Equal Credit Opportunity Act (ECOA)
Fair Credit Reporting Act (FCRA)
State licensing requirements (where applicable)
FTC Guidelines for endorsements and affiliate marketing
Professional Licensing
If your promotional activities require professional licensing (such as mortgage broker or loan originator licenses), you are responsible for:
Obtaining and maintaining required licenses
Complying with continuing education requirements
Following all professional conduct standards
Disclosure of license status when required
PROGRAM TERMINATION
Voluntary Termination
You may terminate your participation at any time by:
Providing written notice to Sequoia Brokerage
Ceasing all promotional activities
Removing affiliate links and promotional materials
Involuntary Termination
Sequoia Brokerage reserves the right to terminate your participation for:
Violation of program terms or applicable laws
Fraudulent or misleading marketing practices
Failure to maintain required licenses or compliance
Conduct detrimental to Sequoia Brokerage's reputation
Non-performance or inactivity for extended periods
Post-Termination Obligations
Upon termination:
Remove all Sequoia Brokerage promotional materials
Cease use of trademarks and branded content
Outstanding commissions will be paid per normal schedule
Confidentiality obligations continue indefinitely
LIMITATION OF LIABILITY
No Guarantees
Sequoia Brokerage makes no guarantees regarding:
Commission earnings potential
Lead conversion rates
Marketing material effectiveness
Program continuation or modifications
Liability Limitations
Sequoia Brokerage's liability is limited to:
Payment of earned commissions as specified
Actual damages not exceeding total commissions paid
No consequential, indirect, or punitive damages
Indemnification
Affiliates agree to indemnify Sequoia Brokerage against claims arising from:
Violation of program terms or applicable laws
Misleading or fraudulent marketing practices
Trademark or copyright infringement
Breach of professional licensing requirements
INTELLECTUAL PROPERTY
Trademark Usage
Use of Sequoia Brokerage trademarks limited to program purposes
No domain registration containing company trademarks
No modification of provided marketing materials
Immediate cessation of use upon program termination
Marketing Materials
Provided materials are for affiliate use only
No redistribution to third parties
Materials remain property of Sequoia Brokerage
Updated materials must replace outdated versions
PRIVACY AND DATA PROTECTION
Customer Information
Affiliates must:
Protect referred customer privacy
Not retain customer personal information
Comply with applicable privacy laws
Direct customers to official privacy policy
Tracking and Analytics
Affiliate portal provides performance tracking
Data used for commission calculation and reporting
Information sharing limited to program administration
Comply with data retention policies
MODIFICATIONS TO PROGRAM
Program Changes
Sequoia Brokerage reserves the right to modify:
Commission structures and payment terms
Program terms and conditions
Marketing guidelines and restrictions
Tracking and reporting systems
Notification Process
Material changes will be communicated through:
Email notifications to active affiliates
Updates posted in affiliate portal
Revised agreements or program materials
Continued Participation
Continued participation after notification constitutes acceptance of modifications.
DISPUTE RESOLUTION
Arbitration Requirement
Disputes must be resolved through binding arbitration rather than litigation, except for:
Commission payment disputes under $1,000
Injunctive relief matters
Small claims court proceedings
Governing Law
This Disclaimer is governed by the laws of Missouri and applicable federal regulations.
